Please read these Terms and Conditions (“Terms”) carefully before using Power Unit University, an online coaching and training platform provided by Power Unit Coaching LLC (“Power Unit University,” “we,” or “us”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use Power Unit University.

These Terms outline the rules and policies for using our platform, including free trial terms, billing practices, content usage, and legal provisions. They are designed to be clear and fair so you understand your rights and responsibilities as a member.

1. Membership & Free Trial Policies

Free Trial Eligibility: We offer a 14-day free trial to new users so you can evaluate Power Unit University. No credit card or payment information is required to start the free trial, and you will not be charged during this period. Each individual is entitled to one free trial unless otherwise specified.

Access During Trial: During the 14-day trial, you will have access to the courses, training materials, and features available to paying members. All standard Terms and Conditions apply to trial users as well (e.g. content usage rules and disclaimers), just as they do for paid members.

End of Trial – Manual Upgrade Required: We do NOT automatically enroll you into a paid subscription after your free trial. To continue using Power Unit University beyond the 14-day trial, you must manually upgrade to a paid membership plan before the trial ends. If you do not choose to upgrade by the end of your trial period, your access will terminate immediately once the 14-day free trial expires. You will lose access to all courses and content until you purchase a subscription. We will not automatically charge you or convert your trial into a paid account without your action, since no payment info is collected upfront.

2. Billing & Cancellation Policies

Subscription Billing: Paid membership to Power Unit University is offered on a subscription basis (e.g. monthly or annually, as selected during signup). By upgrading to a paid plan, you authorize Power Unit University to charge the provided payment method for the subscription fee on a recurring basis (each billing cycle) until you cancel. We do not send automatic reminders before charging your card for a renewal. It is your responsibility to remember your renewal date and manage your subscription accordingly.

Automatic Renewal: Your membership will automatically renew at the end of each billing cycle (e.g. on the same date each month for monthly plans) unless you cancel beforehand. The renewal charge will be at the same rate and term as your original subscription, unless we notify you of a change in advance (in which case you would have the opportunity to cancel).

Cancellation Policy: You may cancel your subscription at any time. However, to avoid being charged for the next billing period, you must cancel at least 48 hours before your upcoming renewal date. This 48-hour advance cancellation allows us to process your request in time. If you do not cancel at least 48 hours prior, the cancellation will take effect for the following cycle and you will still be charged for the upcoming renewal. For example, if your renewal date is the 30th of the month, be sure to cancel by the 28th to avoid the next charge. You can cancel your membership through your account settings on our website or by contacting our customer support for assistance.

No Refunds or Prorated Credits: Power Unit University has a strict no-refund policy. We do not offer refunds or prorated credits for any subscription fees that have already been charged, except in the case of a verified technical issue on our end (explained below). This means that if you cancel your subscription after your billing date has already passed, you will retain access to the content until the end of the paid period, but you will not receive a refund for the remaining days in that cycle. Similarly, if you forget to cancel in time and your card is charged, we cannot provide a refund for that charge.

Exception – Technical Issues: The only exception to our no-refund policy is if a technical problem originating with Power Unit University (and not due to your own device or internet issues) prevents you from accessing the content or platform for a significant duration of your paid subscription. In such rare cases, please contact us and we will investigate the issue. If we determine that a system error on our side deprived you of the service you paid for, we may, at our discretion, provide a prorated refund or credit to compensate for the time you were unable to access the content. This is the sole circumstance under which refunds may be issued.

3. Content Protection & Usage Restrictions

All content available on Power Unit University – including videos, lectures, written materials, downloadable resources, and any other educational content – is the exclusive property of Power Unit Coaching LLC or its licensors and is protected by copyright and other intellectual property laws. We take content protection very seriously to maintain the value of our training and to respect the rights of our content creators.

Personal, Internal Use Only: Your membership grants you a limited, non-transferable license to access and use the content for your own personal educational purposes within the Power Unit University platform. You may not share your login credentials with anyone else, and you may not allow any unauthorized person (including colleagues, friends, or the general public) to access the content using your account.

Prohibited Actions: You expressly agree not to do any of the following, as they are strictly prohibited:

• No Copying or Recording: Do not screen record, screenshot, photograph, download, or otherwise copy any video, webinar, or course content from Power Unit University without our express written permission. Similarly, do not attempt to recreate or transcribe the content for distribution.

• No Sharing or Distribution Outside the Platform: Do not share, forward, or distribute Power Unit University content to anyone who is not an active member of the platform. This includes not posting videos or materials from the courses on social media, YouTube, file-sharing sites, or any public forum. Content must remain within the confines of our platform.

• No Public Display or Commercial Use: Do not display our content publicly (e.g., playing course videos in a public setting or group that is not part of an official Power Unit University program). You also may not use our materials to create your own course or for any commercial purpose that competes with or infringes on our rights.

• No Modifying or Derivative Works: Do not modify, translate, or create derivative works based on any Power Unit University content and then share those outside the platform. Any adaptations or summaries you create must be solely for your personal use and not shared publicly.

Internal Sharing: Power Unit University may provide internal community features, such as forums, study groups, or discussion boards accessible only to members. Within these official internal groups on the platform, you may discuss the course material and share insights or tips with fellow members. However, even within these groups, you should not post actual copyrighted course files or full content pieces. For example, it’s fine to summarize an idea or share how you applied a concept, but you should not upload a full PDF of course slides or a recording of a video lesson. Content may only be referenced or discussed within the platform’s community in accordance with our guidelines. Any sharing outside of these secure, members-only areas is prohibited.

Enforcement & Consequences: We reserve the right to monitor for compliance with these content usage rules. If we discover (or have reason to suspect) that you have violated the above restrictions, Power Unit University may immediately suspend or terminate your membership without prior notice and without any refund. You may also be subject to legal action. Unauthorized recording or sharing of copyrighted content is considered copyright infringement. We are prepared to pursue copyright infringement claims, DMCA takedown requests, and other legal remedies to protect our intellectual property. In addition to civil liabilities, intentional theft or piracy of content could potentially expose you to criminal penalties under applicable law. We truly value our content and the hard work of our instructors, and we expect members to respect these Terms and uphold the integrity of our community.

4. Legal & Compliance Considerations

4.1 No Guarantees or Warranties on Results

Power Unit University’s courses and coaching materials are provided to help you improve your business or professional skills, but we do not guarantee any specific results or outcomes. Every member’s situation is different, and success in real estate or any business endeavor depends on many factors beyond our control (market conditions, your effort, experience, etc.). You acknowledge that any training, strategies, or success stories presented in our content are for illustrative and educational purposes only and are not promises of actual performance. Past results achieved by other clients or testimonials are not a guarantee that you will achieve the same outcomes.

By using our platform, you agree that your success or failure is your own responsibility. Power Unit Coaching LLC is not liable for your business results or any consequences (positive or negative) that occur from applying the information from our courses. All information and services are provided “as is” without warranty of any kind, either express or implied. To the fullest extent permitted by law, we disclaim any implied warranties of merchantability or fitness for a particular purpose. In short, while we strive to provide valuable guidance, you use our content at your own risk and discretion.

4.2 Limitation of Liability

Under no circumstances will Power Unit Coaching LLC (or its directors, officers, employees, or instructors) be liable to you for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of Power Unit University. This includes, for example, loss of profits, loss of business opportunities, or other economic losses resulting from applying ideas from our courses. Our maximum liability for any claims arising from your use of the service or these Terms will not exceed the amount of fees you have paid to us in the past six months. Some jurisdictions do not allow the exclusion or limitation of certain liabilities – in such cases, the above limitations apply to the maximum extent permitted by law.

4.3 Dispute Resolution (Arbitration Clause)

By agreeing to these Terms, you and Power Unit Coaching LLC both agree to resolve any disputes through binding arbitration, rather than in court. This means that if any controversy or claim arises out of or relates to these Terms or your use of Power Unit University, it shall be settled by arbitration on an individual basis. You waive your right to a jury trial and to participate in class actions or other collective proceedings against us, to the extent permissible by law.

Arbitration Procedure: The arbitration will be administered by a neutral arbitrator agreed upon by both parties, and it will follow the rules of a well-established arbitration organization, such as the American Arbitration Association (AAA), applying its Commercial Arbitration Rules. The arbitration may take place in the county and state of Power Unit Coaching LLC’s principal business location (unless you and we agree on a different location). If an in-person hearing is required, you agree to travel to the arbitration location, or alternatively, the arbitration may be conducted via teleconference or written submissions if the parties agree or the arbitrator so directs. The arbitrator will have the authority to grant any remedy that would be available in court under law, and the arbitrator’s decision will be final and binding on both parties. Judgment on the arbitration award may be entered in any court that has jurisdiction.

Exceptions: Notwithstanding the above, either party may bring claims in a small claims court if they qualify for that court’s jurisdiction, or seek injunctive relief in a court of law for intellectual property infringement or misuse of the service (for example, unauthorized distribution of content, as outlined above). Such actions shall not be deemed incompatible with this arbitration provision.

4.4 Governing Law and Jurisdiction

These Terms and Conditions, and any dispute arising from them or your use of the service (including arbitration proceedings), shall be governed by the laws of the State of Florida, USA, and (to the extent applicable) the federal laws of the United States. This governing law applies no matter where in the United States you reside or from where you access the service. The choice of Texas law is made to provide a consistent legal framework for this agreement, without regard to conflict of law principles.

If for any reason a claim proceeds in court rather than arbitration, you agree that such claim will be brought exclusively in the state or federal courts located in the State of Texas. You consent to the personal jurisdiction of these courts for litigating any such claims, and you waive any objections based on improper venue or inconvenient forum.

4.5 U.S. Operations & International Laws

Power Unit Coaching LLC operates solely within the United States, and Power Unit University is intended for U.S. customers. We do not specifically offer our services to residents of other countries, and we make no representations that the content or platform is appropriate or available for use in other jurisdictions. Because of this U.S.-only focus, we do not currently comply with international data privacy laws such as the European Union’s General Data Protection Regulation (GDPR) or the California Consumer Privacy Act (CCPA). By using Power Unit University, you acknowledge that these specific laws do not apply to your use of the service. It is your responsibility to refrain from using the platform if such laws or other international regulations apply to you and would prohibit usage of a U.S.-based service without those compliance measures.

4.6 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by an arbitrator or a court of competent jurisdiction, that provision shall be deemed severed from this agreement and shall not affect the validity and enforceability of the remaining provisions. The remainder of the Terms will remain in full effect.

4.7 Changes to Terms

Power Unit University reserves the right to modify or update these Terms and Conditions at any time. If we make material changes, we will notify members by email or by posting a notice on our website. Continued use of the platform after any changes are made constitutes acceptance of the revised Terms. It is your responsibility to review the Terms periodically for updates. The “Effective Date” at the top will indicate when the latest changes were made.

4.8 Entire Agreement

These Terms and Conditions, along with any other policies or guidelines posted on the Power Unit University website (such as our Privacy Policy), constitute the entire agreement between you and Power Unit Coaching LLC regarding your use of the platform. They supersede any prior agreements or understandings, whether written or oral, relating to the same subject matter. No waiver of any term or condition by us shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right under these Terms shall not constitute a waiver of such right.
